End User License Agreement (EULA) & Terms of Use — Password Express

1. License Grants & Edition Restrictions

We provide the Appliance under three distinct tiers. Your rights and restrictions depend entirely on the license tier you deploy:

A. Community Edition (CE)

License Grant: Jadaptive grants you a royalty-free, non-exclusive, non-transferable license to deploy a single instance of the CE Appliance on your on-premise or private cloud infrastructure for internal business use with unlimited users.

Commercial Restrictions: The CE Appliance is licensed strictly for internal use. You may not use the CE Appliance to provide managed services, host identity management for third parties, or otherwise resell, rent, or lease access to the Appliance. Managed Service Providers (MSPs) must upgrade to the Enterprise Edition.

No Gating: All core features present in the CE code are fully accessible. We will never retroactively revoke or gate existing CE features to force a paid upgrade.

B. Professional Edition (PE)

License Grant: Subject to payment of the appropriate fees, Jadaptive grants you a non-exclusive, non-transferable license to use the PE Appliance for a single-tenant environment up to your purchased user limit.

The Isolation Option: If you purchase a "Static / Offline" License, you are granted the right to run the PE Appliance in an air-gapped or fully offline environment without the daily "phone-home" requirement.

C. Enterprise Edition (EE)

License Grant: Subject to an active Enterprise agreement, Jadaptive grants you a multi-tenant, resalable license. MSPs may utilize the EE Appliance to host and manage SSPR services for multiple distinct customer tenants.

2. License Validation & Programmatic Telemetry

To preserve our bootstrapped business model, the Appliance utilizes a cryptographic daily verification mechanism.

The Connection Requirement: Unless you have purchased a "Static / Offline" License (PE/EE), the Appliance must maintain an active, outbound internet connection to Jadaptive's licensing servers.

Daily Handshake: Once every 24 hours, the Appliance will execute a secure outbound connection to validate its license state.

Transmitted Telemetry: During this handshake, the Appliance transmits:

• The registered administrator's email address.
• The unique cryptographic License ID.
• Basic, non-identifying operational statistics (the active user count, directory database type, and software version).

Failure to Connect: If the Appliance is unable to communicate with Jadaptive's licensing servers for more than 14 consecutive days, the license validation will fail. Premium features may be temporarily suspended until connectivity is restored.

3. The "Community Rewards" Program

The CE Appliance includes a "Community Rewards" feature allowing you to temporarily or permanently unlock custom branding and white-labeling features for free by providing social proof.

How It Works: Users can optionally share (via the Appliance's admin UI) a public link to a social media post (LinkedIn, Twitter/X, or a blog) announcing their use of Password Express.

What We Track: We only track whether the social proof link has been shared. We do not collect any analytics from the external social media platform.

4. Restrictions

You agree NOT to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Appliance.
• Sublicense, rent, lease, or otherwise transfer rights to the Appliance.
• Use the Appliance for any unlawful purpose or in violation of any applicable laws.
• Remove, alter, or obscure any proprietary notices on the Appliance.
• Attempt to bypass or circumvent any licensing or authentication mechanisms.

5. Intellectual Property

The Appliance, including all copies and derivative works, is and remains the sole property of Jadaptive Limited. All rights, title, and interest in and to the Appliance, including without limitation the software, documentation, and any other materials provided therewith, are owned exclusively by Jadaptive.

The "Password Express" name and logo are trademarks of Jadaptive Limited. You may not use these marks without our prior written consent.

6. Disclaimer of Warranties

THE APPLIANCE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

WE DO NOT WARRANT THAT THE APPLIANCE WILL BE ERROR-FREE OR THAT ITS OPERATION WILL BE UNINTERRUPTED.

7. Limitation of Liability

IN NO EVENT SHALL JADAPTIVE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OR INABILITY TO USE THE APPLIANCE; (II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.

8. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Appliance and destroy all copies thereof.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
